Contract and Conduct Requirements

Before offering or entering a contract, a PRO must provide, upon request, information about whether specific copyrighted works are in its repertoire and allow access to its current members and affiliates. Contracts must be in writing, signed by both parties, and include the proprietor’s and PRO’s details, contract duration, and full royalty terms, including any rate changes.

PROs and their employees are prohibited from:

  • Entering a business without disclosing their identity and purpose,

  • Engaging in coercive or disruptive behavior,

  • Using deceptive negotiation tactics,

  • Failing to provide required disclosures.

Remedies for Violations

Proprietors may seek damages, injunctions, attorney’s fees, and other legal remedies for violations. The law complements other federal, state, and common laws but does not apply to contracts with FCC-licensed broadcasters, cable operators, or to music used in audiovisual sync licenses.
