Contract and Conduct Requirements
At least 72 hours before executing a royalty contract, a PRO must provide the proprietor with written notice including royalty rates, access to the PRO’s repertory (upon request), contact information (toll-free number and online access), sample contract forms, legal compliance statements, and a warning that failure to provide this information is unlawful. It must also advise that separate licenses may be needed for unlicensed works.
PROs are prohibited from:
Entering a business to discuss contracts without identifying themselves and their purpose
Collecting royalties without a valid contract
Using deceptive or retaliatory tactics in negotiations
Contracts must be in writing, signed, and include key details such as names, addresses, duration, and rates.
Remedies for Violations
Violations entitle the proprietor to seek injunctions, damages, attorney’s fees, and other legal remedies.
Exemptions apply to contracts with FCC-licensed broadcasters and certain enforcement actions. The law does not restrict PROs from investigating music use or informing businesses of federal copyright obligations.
