Contract and Conduct Requirements

A performing rights organization (PRO) must provide a business proprietor with written notice at least 72 hours before executing a royalty contract. This notice must include:

  • royalty rates and terms

  • access to the list of represented members upon request

  • notice that a full list of copyrighted works can be requested (at the proprietor’s expense)

  • a toll-free number for inquiries

Contracts must be in writing, signed by both parties, and include the proprietor’s and PRO’s names, business details, contract duration, and full royalty terms. PROs may not collect royalties unless a valid contract exists. PROs are also prohibited from coercive behavior or entering a business without proper identification and disclosure.

Remedies for Violations

Violations allow the proprietor to seek damages, injunctions, and legal fees. The statute does not apply to PRO contracts with FCC-licensed broadcasters, cable services, or to certain investigations.
